General Terms and Conditions of Sale

These General Terms and Conditions of Sale apply to any order placed with DIMM SA. This site is exclusively reserved for professionals (B2B).

2. Scope of Application

These T&C govern all sales of products and services carried out by DIMM SA to its professional customers. Any order implies acceptance without reservation of these conditions.

Any particular conditions eventually negotiated with the customer take precedence over these T&C in case of contradiction.

3. Orders

Orders may be placed by telephone, email, or via a DIMM sales representative. Any order is only final upon written confirmation from DIMM SA.

The prices indicated in our offers and catalogs are provided for informational purposes only and may be changed without notice. The applicable price is that confirmed at the time of order validation.

4. Price and Payment

Unless otherwise stated, prices are expressed excluding taxes (HT). The applicable VAT is that in effect on the date of invoicing.

Payment is due within 30 days of invoice date, unless otherwise agreed. In case of payment delay, default interest of 1% per month will be applied automatically, without prior notice, in accordance with the Belgian law of August 2, 2002 concerning late payment in commercial transactions.

A flat penalty of 10% of the unpaid amount, with a minimum of €150, will be due as a penalty clause.

5. Delivery

Delivery times are communicated for informational purposes only and do not constitute a firm commitment. DIMM SA cannot be held responsible for delays due to causes beyond its control (supplier stock shortage, transport, force majeure).

Goods travel at the buyer's risk and peril, even in case of free delivery. The customer must verify the condition of goods upon receipt and make any reservations within 48 hours of delivery.

6. Returns and Claims

Any merchandise return must be subject to prior written approval from DIMM SA. Return shipping costs are the customer's responsibility, except in case of error attributable to DIMM SA.

Returned products must be in their original packaging, in perfect condition, and accompanied by the corresponding invoice. A markdown may be applied if damage occurs.

7. Warranty

Products distributed by DIMM SA benefit from applicable manufacturer warranty. The duration and warranty conditions vary according to manufacturers and are communicated upon request.

Warranty does not cover damage resulting from non-compliant installation, inappropriate use, lack of maintenance, or product modification by the customer.

8. Ownership Reserve

Delivered merchandise remains DIMM SA's property until full payment of price. In case of non-payment, DIMM SA reserves the right to claim the merchandise.

9. Force Majeure

DIMM SA cannot be held responsible for total or partial failure to meet its obligations if such failure is due to a force majeure case, including: strike, fire, flood, pandemic, raw material shortage, transport blockade.

10. Liability

DIMM SA's liability is limited to the amount of the order concerned. DIMM SA cannot in any case be held responsible for indirect damages (loss of revenue, lost profits, reputation damage, etc.).

11. Data Protection

Personal data collected as part of the commercial relationship are processed in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR).

12. Applicable Law and Jurisdiction

These T&C are subject to Belgian law. Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the courts of the judicial district of Ypres (Ieper), Belgium.
